Terms of Service

1. About these terms

These terms are an agreement between NXT AI, based in Ontario, Canada ("NXT AI", "we"), and the business that signs up ("you"). By creating an account or using NXT AI, you agree to these terms and to our Privacy Policy. If you sign up for a business, you confirm you are allowed to accept these terms for it.

2. The service

NXT AI captures inquiries from calls, texts and website forms, replies with AI, books appointments, and sends reminders, follow-ups, quotes and invoices. We may improve or change features over time. If we remove a feature you pay for, we will tell you first.

3. Free trial, plans and billing

• New accounts get a 14-day free trial. No card is needed to start.
• Plans are billed monthly in Canadian dollars: NXT Basic $49 (50 new customer conversations a month, 1 user) and NXT Pro $99 (300 conversations, up to 3 users). Add-ons are billed monthly on top of your plan. Taxes such as HST are extra.
• A conversation is a new customer inquiry in a calendar month. If you go over your plan's limit, or your trial ends without a paid plan, new inquiries are still saved, but AI replies and texts pause until you upgrade or the next month starts.
• Add-ons include 200 texts a month each. After that, those texts pause until the 1st of the next month.
• Payments are handled by Stripe. Your plan renews each month until you cancel.
• Promotional offers, such as the founding offer, apply as described when you sign up and end when their stated period ends.
• We may change prices with at least 30 days' notice by email or in the app. The new price applies from your next billing date after the notice.

4. Cancelling

You can cancel anytime from Settings > Plan & billing. Your plan stays active until the end of the month you've paid for. We don't give refunds for partial months, except where the law requires. You can ask us to export or delete your data when you leave.

5. Customer payments

If you take deposits or invoice payments through NXT AI, you connect your own Stripe account and money goes straight to you. A processing fee of 3.5% + 30¢ per customer payment is taken before the payout. You must also follow Stripe's terms. You are responsible for your refunds, chargebacks and taxes on your sales.

6. Your responsibilities

• Keep your password safe, and give access only to your own staff.
• Give accurate business information, prices, hours and services, so the AI can answer correctly.
• Follow Canada's anti-spam law (CASL) and all other texting and privacy laws. Only text people who contacted your business or otherwise agreed to hear from you. Honour STOP requests (NXT AI does this automatically).
• Tell your customers how you use their information, including that replies may be written by AI.
• Don't use NXT AI for spam, illegal activity, harassment, or anything that could harm the service or other businesses using it.

7. AI replies

AI replies are generated automatically and can sometimes be inaccurate or incomplete. You can review every conversation and step in at any time. You are responsible for the prices, bookings and promises your business makes to its customers.

8. Phone numbers and texting

Texting and missed-call features use phone numbers provided through Twilio. Delivery of texts and calls depends on phone carriers and is not guaranteed. If your account closes, the number assigned to your business may be released.

9. Your data

Your business's data, including your customers' information, belongs to you. You let us use it only to provide and improve the service for you, as described in our Privacy Policy. We do not sell it.

10. Availability

We work to keep NXT AI running at all times, but we can't promise it will never be interrupted. We may do maintenance, and outside services such as phone carriers and payment processors can have outages.

11. Suspension

We may suspend or close an account that doesn't pay, breaks these terms, or puts the service or other people at risk. Where we can, we will warn you first and give you a chance to fix the problem.

12. Limits of liability

NXT AI is provided "as is". To the extent the law allows, we are not responsible for lost profits, lost jobs or indirect damages. Our total liability for any claim is limited to the amount you paid us in the 3 months before the claim.

13. Changes to these terms

We may update these terms. If a change is significant, we will tell you at least 30 days before it takes effect. If you keep using NXT AI after that, you accept the new terms.

14. Law

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute goes to the courts of Ontario.
